By accessing or using the Everlane Group Tools platform (“Platform”) at tools.everlanegroup.co, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Everlane Group (“we,” “us,” or “our”).

The Platform provides internal marketing and advertising tools for authorized Everlane Group team members, including but not limited to:

Access to the Platform requires an authorized account created by an Everlane Group administrator. By using your account, you agree to:

• Keep your credentials secure — Do not share your username or password with anyone. You are responsible for all activity under your account.
• Authorized use only — The Platform is for Everlane Group business purposes only. Accounts are non-transferable.
• Notify immediately — If you suspect unauthorized access to your account, notify an administrator immediately.
• Accurate information — Ensure that any information you provide through the Platform is accurate and up to date.

We reserve the right to suspend or deactivate your account at any time, for any reason, including violation of these Terms.

4 Acceptable Use

You agree to use the Platform only for its intended purpose and in compliance with all applicable laws and regulations. You must not:

The Platform integrates with third-party services, including the Meta (Facebook) Marketing API. By using these integrations, you acknowledge and agree that:

• Your use of third-party services is subject to their respective terms and policies, including Meta’s Advertising Standards and Meta’s Platform Terms.
• We are not responsible for any third-party service’s availability, performance, or policies.
• You are responsible for ensuring your advertising campaigns comply with all applicable third-party platform policies.
• Third-party services may modify their APIs, terms, or features at any time, which may affect the Platform’s functionality.

6 Intellectual Property

The Platform, including its design, code, features, and content (excluding user-generated content and third-party materials), is the property of Everlane Group and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for authorized business purposes. This license does not include the right to:

• Copy, modify, or distribute any part of the Platform
• Use the Platform’s branding, trademarks, or logos without written permission
• Create derivative works based on the Platform

7 Disclaimers & Limitations of Liability

Limitation of Liability: To the maximum extent permitted by applicable law, Everlane Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Platform.

This includes, without limitation, damages arising from:

• Errors or inaccuracies in campaign data or advertising metrics
• Third-party service outages or API changes
• Unauthorized access to your account
• Any advertising campaigns created or managed through the Platform

8 Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination:

• Your right to access the Platform ceases immediately.
• We may delete your account and associated data in accordance with our Privacy Policy.
• Sections of these Terms that by their nature should survive termination will remain in effect (including Disclaimers, Limitations of Liability, and Intellectual Property).

9 Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make changes:

• We will update the “Last updated” date at the top of this page.
• For material changes, we will notify affected users through the Platform.
• Your continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.
